Welcome to InvoiceSpider (https://invoicespider.com). These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of the InvoiceSpider platform, website, software, and services (collectively, the “Service”).
By creating an account, subscribing to a plan, or accessing any part of the Service, you agree to be legally bound by these Terms. If you are entering into this Agreement on behalf of a business, company, or legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.
1. Account Registration and Access
- Eligibility: You must be at least 18 years of age or the legal age of majority in your jurisdiction to register and use InvoiceSpider.
- Accuracy: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
- Account Security: You are responsible for maintaining the confidentiality of your credentials (username, password, API keys) and for all activity occurring under your account. You must notify us immediately at support@invoicespider.com if you suspect unauthorized access.
2. Description of Services
InvoiceSpider provides cloud-based software-as-a-service (SaaS) tools, including but not limited to:
- Customer Relationship Management (CRM) and Lead Tracking
- Visual Sales Pipelines and Deal Management
- Quotation, Estimate, and Invoice Generation
- Online Payment Tracking and Client Management
- Automated Reminders and Reporting Tools
We reserve the right to update, modify, enhance, or discontinue specific platform features, tools, or integrations at any time without prior liability.
3. Subscription Plans, Billing, and Payments
- Subscription Fees: Access to InvoiceSpider is offered on a paid subscription basis (monthly or annually). Pricing details are listed on our official pricing page and may be updated periodically.
- Billing Cycle: Subscriptions are billed in advance on a recurring schedule starting from your sign-up date.
- Automatic Renewal: Unless cancelled prior to the end of the current billing cycle, subscriptions automatically renew under the same terms.
- Payment Processing: Payments are processed via secure third-party payment gateways (e.g., Stripe). By providing payment information, you authorize us to charge all applicable fees to your selected payment method.
- Refund Policy: All fees are non-refundable except where explicitly required by law or specified in a written service-level agreement.
- Late Payments & Suspension: Failure to settle fees may result in account restriction, suspension, or termination of access to your data until all balances are settled.
4. User Data and Intellectual Property Rights
- Ownership of Your Data: You retain full ownership of all data, client records, invoices, graphics, and text uploaded, submitted, or processed by you on InvoiceSpider (“User Data”).
- License to Host: You grant InvoiceSpider a non-exclusive, worldwide, royalty-free license to host, copy, process, and display User Data solely as necessary to operate, maintain, and provide the Service to you.
- InvoiceSpider Ownership: All software code, UI design, trademarks, logos, domain names, database structures, and platform architecture are the exclusive property of InvoiceSpider. You may not copy, modify, distribute, or reverse engineer any part of our platform.
5. Acceptable Use and Restrictions
You agree to use InvoiceSpider strictly for lawful business purposes. You agree NOT to:
- Use the Service to send unauthorized bulk communications, spam, or phishing emails.
- Upload or process any unlawful, fraudulent, defamatory, or infringing content.
- Interfere with or compromise the security, integrity, or performance of the network and software.
- Probe, scan, or test system vulnerabilities or attempt unauthorized access to other accounts or infrastructure.
- Resell, rent, lease, or sub-license access to InvoiceSpider to third parties without our explicit consent.
6. Third-Party Integrations and Links
InvoiceSpider may integrate with third-party software, applications, or payment processors (e.g., email service providers, banking APIs). We do not control or endorse these external services, and we are not responsible for their performance, availability, or privacy practices. Your use of third-party tools is governed by their respective terms and policies.
7. Termination and Account Cancellation
- Cancellation by You: You may cancel your subscription at any time via your account management dashboard. Cancellation will take effect at the conclusion of your current paid billing period.
- Termination by Us: We reserve the right to suspend or terminate your account immediately if you breach these Terms, violate applicable laws, or fail to make required payments.
- Data Retention upon Cancellation: Following account cancellation or termination, we reserve the right to permanently delete all associated User Data after 30 days, unless a longer retention period is required by law.
8. Disclaimer of Warranties
InvoiceSpider is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, InvoiceSpider makes no representations or warranties of any kind, express or implied, regarding:
- Uninterrupted, error-free, or fully secure platform operation.
- The accuracy, reliability, or completeness of reports, calculations, or tax estimates generated through the Service.
- Fitness for a particular business or accounting purpose.
9. Limitation of Liability
To the fullest extent permitted by applicable law, InvoiceSpider, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of revenue, profits, goodwill, client data, or business disruption—arising out of or related to your use or inability to use the Service.
In no event shall InvoiceSpider’s total aggregate liability exceed the total amount paid by you to InvoiceSpider in the six (6) months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless InvoiceSpider and its affiliates from and against any claims, liabilities, losses, damages, expenses, or legal fees resulting from:
- Your violation of these Terms.
- Your User Data or client invoice disputes.
- Your breach of applicable business, privacy, or tax laws.
11. Governing Law and Dispute Resolution
